  • Company expects overseas listing to support future funding requirements
  • To position SDF among international sustainable finance investors

Sarvodaya Development Finance PLC (SDF) said it will proceed with the dual listing of its high-yield subordinated sustainable Bonds on the Luxembourg Stock Exchange, following the completion of Sri Lanka’s first high-yield sustainable bond issue late last month.

The Bonds, which were listed on the Colombo Stock Exchange (CSE) on 30 October, marked a first for the domestic capital market in terms of structure and sustainability positioning.

The Tier 2, listed, rated, unsecured, subordinated, redeemable, High-Yield Sustainable Bond Issue raised 20 million Bonds at a par value of Rs. 100 each, with Capital Alliance Ltd., as its issue manager, aiming to raise a total of Rs. 2 billion, with a rating of ‘BB+’ by Lanka Rating Agency Ltd., was oversubscribed within hours of being listed on the exchange on 8 October 2025.

SDF said the decision to pursue a secondary listing overseas was approved by its Board with the objective of improving international visibility and broadening access to global impact-oriented investors. The move comes amid rising interest from foreign investors focused on sustainability-linked and impact finance instruments.

The company said all required regulatory clearances have now been secured, including approval from the Central Bank of Sri Lanka, and the listing on the Luxembourg Stock Exchange will be completed in due course.

SDF stressed that the dual listing will not affect domestic market operations, with trading and settlement of the high-yield sustainable Bonds continuing on the CSE in Sri Lankan rupees.

The company expects the overseas listing to support future funding requirements by positioning SDF more prominently among international sustainable finance investors while maintaining its primary market presence in Sri Lanka.
