NTB opens 35th window for non-voting shareholders to convert to voting shares

Nations Trust Bank PLC (NTB) will open the 35th quarterly window for holders of its non-voting convertible shares to convert them to voting shares, with 31 December, 2026 set as the entitlement date, the bank said on Friday.

NTB ordinary voting shares ended 50 cents up on Friday at Rs. 303.50 while the preference share prices closed unchanged at Rs. 385.25.

The shares were issued through a rights issue to the bank’s voting shareholders under a circular dated 18 December, 2017, with the option for subscribers to convert them into voting shares by adding voting rights, and to have the converted shares listed on the Colombo Stock Exchange.

Holders of non-voting convertible shares at the end of trading on 31 December, 2026 will be entitled to convert. Those opting to do so must submit an application for conversion and a letter of authorisation to the Central Depository System (CDS), both available on the bank’s website, to the registrars, P W Corporate Secretarial Ltd., on or before 5 January, 2027.

Applications received after that date will be processed in the following quarter ending 31 March, 2027, based on the entitlement schedule as at that date. Applications submitted between quarter-ends will be processed at the end of the next quarter.

The conversion will be completed within 22 market days of the end of the quarter, and will be subject to rules on the maximum holding of voting shares by a single shareholder in a licensed commercial bank.
