A useful seminar on “Safeguards for Company Secretaries and Directors under the newly amended Companies Act No. 12 of 2025 will be held on 27 January from 2.00 p.m. to 5.00 p.m. at NH Collection, Colombo 3.
The organiser Corporate Legal Consultants said this seminar will provide essential guidance for company secretaries, directors, and corporate professionals on navigating the new legal landscape, interpreting the amended provisions, and safeguarding themselves and their organisations under the revised Act.
The resource persons/speakers include Heritage Partners Precedent Partner Dr. Aritta Wickramanayake as keynote speaker, Company Law Advisory Commission Chairman and HNB PLC Chairman Nihal Jayawardena and LOLC Insurance Chairman Kithsiri Gunawardena. The panellists will be Colombo Stock Exchange Chief Regulatory Officer Nilupa Perera, a representative from the Registrar of Companies and Attorney-at-Law – Session Chair Malik Cader.
Organisers said the recent amendments introduced through the Companies Act No. 12 of 2025 have placed significant new responsibilities on Company Secretaries, Directors, and companies as a whole. While the objectives of the amendments are clear, several provisions remain ambiguous, creating substantial compliance risks. The imposition of stringent penal sanctions—applicable to company secretaries, directors, and other officers—has further intensified the need for clarity, practical interpretation, and strong internal safeguards.
To mitigate these risks, it is proposed that companies adopt a series of structured safeguards, including formally approved policy frameworks, enhanced internal procedures, and clear documentation of duties and responsibilities. These measures are essential for ensuring accountability, managing exposure, and maintaining compliance with the amended Act.
