Seminar on “Protection of Secretaries and Directors” under Companies Act on 27 Jan.

A useful seminar on “Protection of Secretaries and Directors under the New Amendments to the Companies Act” will be held on 27 January 2025 at the NH Collection from 2 p.m. to 5 p.m. to provide clarity, guidance, and interim safeguards until outstanding issues relating to the amendments are conclusively settled.

The recent amendments to the Companies Act have given rise to considerable uncertainty and interpretational challenges regarding their applicability and implications for companies, company secretaries, and directors.

At present, the legal and practical consequences of these amendments are not entirely clear, creating concern among practitioners and corporates alike.

Keynote speaker at the seminar will be Corporate Lawyer Dr. Aritta Wickramanayake who will address the legal implications of the amendments and outline policy-based “safe cards” that may be adopted to safeguard companies, company secretaries, and directors during this transitional period. Companies Law Amendments Committee Chairman and President’s Counsel Nihal Jayawardena will speak on the legislative intent behind the amendments and their far-reaching consequences, particularly in relation to the identification of the beneficial owner or ultimate natural person.

LOLC Insurance Chairman and Head of Company Secretarial Functions for over 50 companies within the LOLC Group Kithsiri Gunawardena, will present a practitioner’s perspective on the practical application of these amendments.

The panel will comprise Colombo Stock Exchange Head of Regulatory Affairs Nilupa Peiris and Registrar of Companies Sunethra Dharmakeerthi. The session will be moderated by Securities and Exchange Commission of Sri Lanka Former Director General Malik Cader.
