Company, society registration fees increased

The Government has increased a range of fees related to the registration and administration of companies and societies under a new Gazette Notification issued by Trade, Commerce, Food Security and Cooperative Development Minister Wasantha Samarasinghe.

The revised fees, published in Extraordinary Gazette No. 2496/03 dated 6 July 2026, amend the Companies (Fees) Orders and Societies (Fees) Orders previously revised in 2022.

Under the revised structure, the registration fee for a private limited company has been increased to Rs. 5,200 from Rs. 4,600, while the fee for registering a public limited company has been raised to Rs. 26,400 from Rs. 23,000.

The registration fee for an unlimited company has been increased to Rs. 19,800 from Rs. 17,250, while the fee for registering a company limited by guarantee has been set at Rs. 39,600.

The fee for approval of a company name has also been revised upwards to Rs. 2,600 from Rs. 2,300. The filing fee for an annual return has been set at Rs. 7,900, while registration of mortgages, charges, and debentures will attract a fee of Rs. 9,900.

The Gazette also revises fees applicable to company secretaries, auditors, offshore companies, and overseas companies establishing places of business in Sri Lanka.

Meanwhile, fees relating to societies have also been increased. The registration fee for a society has been raised to Rs. 3,900 from Rs. 3,450, while the fee for amending a society’s constitution has been increased to Rs. 1,900 from Rs. 1,725.

The fee for obtaining a certified copy of society documents has been fixed at Rs. 600, while filing an annual return will cost Rs. 1,300 and conducting a file search will attract a fee of Rs. 265.

The revised fees take effect from 6 July 2026 under Extraordinary Gazette No. 2496/03.
