Recent surveys indicate that a company’s ability to attract capital at a favourable cost is a direct factor of the standard of the corporate governance employed, and exhibited by it. There is a growing impetus to improve standards of individual directors and boardroom performance through education, certification and evaluation, all of which the Sri Lanka Institute of Directors (SLID) is well geared to deliver.
It is in this light that SLID launched the flagship Board Leadership Director Certification program in March this year, targeting current, aspiring and potential directors. Due to popular demand SLID is repeating this program for the second intake this month. This is geared to making directors more effective by gaining greater understanding of the entire range of duties and responsibilities that go with their role whilst enhancing board performance and decision making.
It is accredited by the Securities and Exchange Commission (SEC) and is guaranteed to result in a paradigm shift in the way boards operates. It is founded on material developed by the International Finance Corporation through its Global Corporate Governance Forum and extensively customised to meet Sri Lankan requirements and aligned to the Company’s Act 2007, the requirements of the Colombo Stock Exchange, the rules and regulations of the SEC and the best practices of the Corporate Governance code.
This comprehensive program comprises of four parts, which encompasses 16 modules, and leads to the certification of directors both SLID Member directors and non-member directors. Each of the four parts is conducted over two full days of a month over a period of four months. SLID Ordinary Members who complete this training will be qualified to become Graduate Members of the Sri Lankan Institute of Directors and will be eligible to use the post nominal ‘GSLID’ after their names. This program will be conducted twice a year to accommodate the demand.
Participant can register for all four parts or for individual parts, depending on their interest. Each of the four parts stands alone, and need not necessarily be followed in sequence. If one part has been missed the participant can always follow it at the next intake.
Part 1 on ‘Corporate Governance’ will be conducted on 26 and 27 August from 8:30 a.m. to 4:30 p.m. This explores the role played by, and the division of responsibilities among shareowners, boards, director, executive managers and other stakeholders within the corporate governance system.
Part 2 on ‘The Board’ will be conducted on 22 and 23 September and explores the board’s role in determining a company’s corporate governance framework. It deals with director’s duties and liabilities, composition and structure, board practices and board procedures.
Part 3 on ‘Strategic Leadership’ will be on 20 and 21 October delving in to one of the most important roles of formulating and implementing strategy and managing enterprise risk. The governance of strategy, evaluating strategy delivery and executive directors’ performance, the governance of risk and corporate responsibility will be dealt with.
Part 4 will handle ‘Financial Stewardship and Accountability’ and will be conducted on 26 and 27 November, exploring the obligations of the board to the shareowners. This involves the directors being the guardians of the company’s assets and acting in the shareowner’s best interest. Financial oversight, reporting, corporate finance and the control environment will be addressed.
